General

These Terms and conditions apply in preference to and supercede any terms and conditions referred to offered or relied on by the buyer in any of its documents whether in negotiation or at any stage in the dealings between the buyer, with reference to the goods to which this contract relates. Without prejudice to the generality of the foregoing, the seller will not be bound by any standard or printed terms furnished by the buyer in any of its documents, unless the buyer specifically states in writing separately from such terms that it intends such terms to apply and the seller acknowledges such notification in writing. These terms and conditions apply in preference to and supersede any terms and conditions referred to, offered or relied on by the buyer whether in negotiation or at any stage in the dealings between the seller and buyer with reference.

Variation

Neither the buyer nor the seller shall be bound by any variation, waiver of, or addition to these conditions except as agreed by both parties in writing and signed on their behalf.

Description

The description of the goods has been given by way of identification only and the use of such description shall not constitute a sale by description.

Sample

Notwithstanding that a sample of the goods has been exhibited to and inspected by the buyer, it is hereby declared that such sample was so exhibited and inspected solely to enable the buyer to judge for himself the quality of the bulk, and not so as to constitute a sale by sample.

Liability

No liability whatsoever shall be incurred by the seller in respect of any representation made by the seller or his agents to the buyer or his agents before the contract was made where such representation related or referred in any way to (I) the correspondence of No liability whatsoever shall be incurred by the seller to the buyer in respect of any express term of the contract whether a condition warranty or intermediate stipulation (including any liability arising from the breach of such term) where the said term relates or refers in any way to (I) the correspondence of the goods to any description or (ii) the quality of the goods or (iii) the fitness of the goods for any purpose whatsoever. ©All implied terms, conditions or warranties, statutory, common law or otherwise as to (I) the correspondence of the goods to any description or (ii) the satisfactory quality of the goods or (iii) the fitness of the goods for any purpose whatsoever (whether made known to the seller or not) are hereby excluded from the contract.

• Guarantees and Warranties

  
  

  Subject to the conditions in 5b Synectic Design Ltd. Will replace goods manufactured or sold by us, or repair the same or refund the purchase price for a period of twelve months from the date of dispatch, for any item supplied with defects caused by faulty materials, design or workmanship.

  
  

• Synectic Design Ltd. shall not incur any liability under the above warranty unless:

  
  

  • Synectic Design Ltd. is promptly notified in writing that such goods do not conform to the warranty, and the appropriate invoice / delivery note number and date of purchase is supplied.

    
    

  • The alleged defective goods are returned to Synectic Design Ltd. carriage prepaid.

    
    

  • Examination of the goods by Synectic Design Ltd. shall confirm that the alleged defect exists and has not been caused by misuse, neglect, method of storage or faulty installation, handling, testing or repair or by alteration or accident. Notwithstanding the aforementioned Synectic Design Ltd. shall be limited to repairing, replacing or issuing credits at its option for any goods returned within twelve months date of dispatch.

    
    

Price

• All quotations and estimates issued by the seller are, unless otherwise stated, based on the current cost of production (materials, hours and wages) and are subject to amendment on or after acceptance to meet any rise or fall in such costs.

  
  

• Any variation to prices quoted, as a result of government taxes will be for the buyer's account.

  
  

Payment

• Payment for goods supplied under the contract is due 30 days after delivery.

  
  

• If payment of the price or any part thereof is not made by the due date, the seller shall be entitled: I) to charge interest on the outstanding amount at the rate of 4% per annum above the Midland Bank Base Rate accruing daily

  
  

  • to require payment in advance of delivery of undelivered goods

    
    

  • to refuse to make delivery of any undelivered goods whether ordered under the contract or not and without incurring any liability whatever to the buyer for non-delivery or any delay in delivery

    
    

  • to terminate the contract.

    
    
  
  

Delivery

The seller will deliver the goods carriage paid within the United Kingdom by any method of transport at the seller's option.

Risk

The risk in the goods will pass to the buyer at the time of dispatch from the seller's premises so that they will be at the buyer's risk during transit and thereafter.

Time

The seller undertakes to use its best endeavors to dispatch the goods on the promised delivery date, but does not guarantee to do so. Time of delivery shall not be of the essence of the contract unless expressly so stipulated in writing.

Property

The property in the goods will not pass to the buyer until payment of the price has been made in full.

Force Majeure

If delivery is delayed by fire, accidents, defective materials, delays in receipt of raw materials or bought-in goods or components or any other cause beyond the reasonable control of the seller or by strikes, lockouts or other industrial action, a reasonable extension of time for delivery shall be granted and the buyer shall pay such reasonable extra charges as shall have been occasioned by the delay.

Delayed Delivery

If a firm delivery date is specifically provided for and the seller fails to deliver the goods by such time for reasons other than matters beyond its control, the buyer shall be entitled to claim a reduction of the price by giving the seller notice in writing within a reasonable time unless it can be reasonably concluded from the circumstances that the buyer has suffered no loss. Such reduction shall be equal to ½% of that part of the price which is properly attributable to such part of the goods which cannot as a consequence of such failure be put to the use intended for each complete week of delay from such firm date but shall not exceed 5% of such part of the price as aforesaid.

Law

The contract shall be deemed to have been made in England and the parties to the contract hereby submit to the jurisdiction of the English courts. English law shall be the applicable law of the contract.
